Chapter 1. Company Presentation
1.1: Name and location.
Zentiva Romania has its headquarters in Bucharest, Theodor Pallady Boulevard, sector 3. Telephone: 01-345.1632. It’s registered at the Bucharest Commerce of Trade under # J40/363/1991, with its fiscal code of AR336206.
1.2: Short Description.
In 1962, the Bucharest Medicine Factory was founded in the industrial area of Dudesti. SC Sicomed was built as a Limited Partnership by shares under the basis of the 15/1990 law. The company’s name comes from the abreviation of the activity domain. SIntheses-COnditioning-MEDicine.
Starting with august 1998, the company was valued at the BVB as an emitent, Sicomed SA being many times the most transactioned company from the II-nd Category. In 1999, after a succesion of transactions consisting in an capital increase and a privat placement, the majoritar packet of actions (58,41% of the subscribed capital) was taken by the institutional invester group formed by the European Bank for Reconstruction and Development, the Post-Privatisation Foundation, GED Eastern Fund, Euromerchant Balkan Fund, Black See Fund and Galencia North East, through the cypriot company Venoma Holdings Ltd. Sicomed S.A. became 100% private in august 2000. In october 2005,the transfer of shares from Venoma to Zentiva N.V., Holland, in terms and conditions prewritten in the definitive contract closed between Venoma Holdings Ltd and Zentiva N.V. on 14th of september 2005.
On the 23rd of january 2006, it was registered at the Register of Trade, the name change from Sicomed to Zentiva.
The Zentiva farmaceutical group was born in August 2003 by fusion of the companies Leciva and Slovakofarma, the main farmaceutical companies in the Czech Republic and the Slovak Republic.
The Commercialization of the products from the portofolio from the two companies under the Zentiva trademark began on the 1st of September 2003, after the approval of the fusion by the Antitrust Agency in Slovakia. The history of Zentiva A.S. Prague (ex-Leciva) becan in the 15th century, in the pharmacy „At the Black Eagle” from Prague, which was bought in 1857 by Benjamin Fragner. The mass production began in 1930, and the company is named Leciva A.S. . After its privatisation in 1993, Zentiva A.S. Hlohovec (ex-Slovakofarma) has its origin in the chemical products factory Slovak Alkaloid, founded in 1941. The history of the largest pharmaceutical company in Czech Republic starts with the „At the Black Eagle” pharmacy, situated in the Lesser medieval sector in Prague. The pharmacy,considered to be the oldest in all of the Bohemia is consemned in papers dating from 1488. The „Benjamin Fragner” factory started its activity in August 1930. Its profitability was based on preparation of active substances and later, an extensive research program was launched.

2.1: The Company’s Offer.
Consists of:
a) production activities: synthesis and conditioning of human medicines, veterinary and other chemical products, assimilation of active ingredients and intermediates for synthesis design and manufacturing
b) trade and marketing activities,
c) other activities. The adjacent company produces over 280 products in 550 dosage forms of presentation. 170 are about prescription products and 100 are available as OTC products and dietary supplements. Besides equivalent brands and food supplements, the company also manufactures active pharmaceutical ingredients
Zentiva currently mainly produce human medicines, which account for over 97% of turnover. The main market is domestic. The company produces and sells approximately 200 products for human use in more than 400 formulations covering most therapeutic classes and the main presentations tablets, vials and solutions perfuzabile.In 2002, Zentiva had a market share of 27% in sales volume and 6.6% of the value of products sold.
The product portfolio includes 120 products for human use in over 240 galenic forms and types deambalare tablets and solutions injectabile.Cu a tradition of over 40 years on the market in Romania, the company produces about 30% of the country and has some demedicamente of the best known brands in the domestic market: Algocalmin ®, Extraveral ®, Dicarbocalm ® and even international: Gerovital ®.
While products address a wide field of therapeutic areas, focus is on the treatment of cardiovascular diseases, inflammatory states, infectious disease, pain, neurological and gastrointestinal disorders and urinar.Pe aletractului near equivalent brands and food supplements, Zentiva also produces active pharmaceutical ingredient.
